[Beijing Netease Youdao Computer System Co., Ltd] (“Youdao”, “we”, or “us”) has always solemnly promised to protect the privacy of users who use our products and Service (collectively “Service”) (collectively “user” or “you”).  When you use our Service, we may collect and use your personal data. The protection of your personal data is of great importance to us. This privacy policy (the “Privacy Policy”) therefore intends to inform you of how we, acting as data controller, collects and processes your personal data that you submit or disclose to us. We may also act as data processor when we process your personal data received or obtained through third-parties. 

You acknowledge that you have read and understood this privacy policy. If you do not agree with this privacy policy, you must not use our Service. If you change your mind in the future, you may withdraw your consent to use of your personal information in accordance with this policy.

If you have any comments, questions or complaints regarding the processing of your personal information, you can contact us pursuant to the means explained in Section VIII below.   

 

I. Personal Data that We may Collect

When you use our Service, we will collect and process the following information about you.

1.     Information you provide us. You give us information about you:

·      When you sign up for our Service, you voluntarily give us certain information related to your personal identity, including your username, email address, telephone number.

·      When you submit your contact details to us (including your name, physical address and telephone number) once you win a prize in our promotional activities.

·      When you generate and display information in the course of using our Service. You may provide information (such as text, photo, audio and other user content) when you use our Service. Such information will not be related to your personal identity. You may also provide your identity (such as parents, office workers, graduates), but it’s not necessary for us to provide you with our Service.

·      When you pay for some service projects if you are a paying customer, including your order information. This is required to complete a commercial transaction in the App. We use this information to enable and fulfill your transaction.

2.     Information we collect about you.

·      We automatically collect certain data from you when you use our Service, including your IP address, geolocation and device information (including device ID, device type, operating system type, IMEI, UUID, IMSI and MAC Address) and information regarding your use of our Service, including advertising data and logs data (including software usage records, click records, and operation logs). We also collect your data each time you interact with us, for example, when you use in-app support to communicate with us.

·      We may collect your diagnostic data regarding your use of our Service, including the Service’s performance data, crash data and other diagnostic data. Such information will not be related to your personal identity.

Please note that if you upload or post information in public areas that are visible to other users in our Service and you disclose your personal information in response to information uploaded or posted by others, such information may be collected and used by others.

II. How Will We Use Your Personal Information

We will use your information for the following purposes and in accordance with the following legal bases:

1.     Help you to set up your account.

We use registration information (username, email address and telephone number) to allow you to set up and log-in to the App. We use this information with your consent to this Privacy Policy.

2.     Provide our service to you.

The information we collect and use is necessary to provide you with our Service. In case of lack of relevant information, we will not be able to provide you with the core content of our Service, such as:

·      when you contact us, we may store information such as communication/call history and conversation or the contact information you left behind in order to contact you or help you solve problem, or to document the solutions and results of the related issues.

·      in order to display the order information of your account, we will collect the order information generated during your use of our Service to show you and facilitate your order management.

Your personal data is therefore processed for these purposes in order to provide you with and perform the service based on your engagement with us. This personal data may also be processed in order to safeguard your legitimate interests of obtaining pertinent information and other related data regarding your services and orders obtained from us.

3.     Push notifications to you

·      Show and push products or services for you. We may send marketing information based on the information you provide us or we collect about you, provide or promote ourself, our related companies or third parties’ goods and services to you. You are able to stop sending third parties’ marketing information based on the information you provide us or we collect about you by clicking the related button on account settings.

·      Send notices to you. We may send you notices related to the service when necessary (for example when we suspend a single service, change, or stop providing a single service due to system maintenance).

If you do not wish to continue to receive notifications we have pushed, you may request us to stop the push. However, except when we send messages according to the provisions of the law or the service agreement of individual services.

4.     Improve our service

We may use the information collected through our Service to further improve our services. For example, we will use log information we collect from your use of our Service to analyze your interests and provide you with specific content or to show you information that is relevant to you, but not universally pushed; we may ask you to participate in surveys about our Service to help us improve existing services or design new services; at the same time, we may use your information and software updates.

5.     Other use of anonymous information

You understand and agree that, in certain instances, upon the collection of your information, we will de-identify and fully anonymize the data through technical means, so that it no longer constitutes personal data directly or indirectly related to an individual. The de-identified information will not identify you or be related to you. In such case, we will use such de-identified information to analyze and commercialize the user database.

If we use your information for other purposes not specified in this Privacy Policy, we will ask for your consent in advance.

6.     Exceptions to get authorization

According to relevant laws and regulations, collecting your information under the following circumstances does not need to get your authorization:

·      related to national security and national defense security;

·      related to public safety, public hygiene and material public interests;

·      related to criminal investigation, prosecution, trial and execution of judgments;

·      it is difficult to obtain your own consent for the maintenance of material legal rights and interests such as the life and property of the main body of the information or other individuals;

·      the information collected is disclosed by yourself to the public;

·      information collected from legally disclosed information, such as the channels including legitimate news reports and governmental information disclosure;

·      necessary to sign a contract according to your request;

·      necessary to maintain the safe and stable operation of our Service, for example, discover and deal with the failure of products or services;

·      necessary for legitimate news reports;

·      necessary for academic research institutions to conduct statistical or academic research based on public interest, and when provided outbound results of academic research or description, the information contained in such results will be de-identified;

·      other circumstances as stipulated by laws and regulations.

 

 

 

III. How Will We Share and Disclose Your Information

We share your personal information with following entities:

1.     selected third parties that provide services in support of our Services, may including:

·      Wechat, QQ, Sina Weibo and APPLE ID, that process IMEI and MAC address, in case you choose to sign up for our Service via the platform account above and share in-app content to platforms above;

·      APPLE or Alipay, that process IMEI, MAC address and purchase information, for the purpose of providing in-app purchase;

·      IFLYTEK, that processes IMEI and some of in-app activities, for the purpose of speech recognition function and live function;

·      Firebase Crashlytics and Umeng, that process IMEI and diagnostic data, for the purpose of helping us track, prioritize, and fix stability issues that erode our app quality.

·      Google-Mobile-Ads-SDK and MMA China, Facebook-Audience, that process IMEI and log information to analyze your interests and provide advertising display service.

The third Party Services will also collect and process your information. If you want to manage your information collected through Third Party Services, please refer to their privacy policies.

2.     related group companies, with whom we share all of your personal information to operate the Services such as messaging and push notification services for purposes described in this Privacy Policy. The transfers contemplated above are made pursuant to our contract with you.

3.     a third party that acquires all or substantially all of us or our business. We will disclose information to a third party in the event that we sell or buy any business or undergo a merger, in which case we will disclose your data to the prospective buyer of such business. We will also disclose information to a third party if we sell, buy, merge or partner with other companies or businesses, or sell some or all of our assets. In such transactions, user information may be among the transferred assets.

4.     law enforcement agencies, public authorities or other judicial bodies and organisations. We disclose information if we are legally required to do so, or if we have a good faith belief that such use is reasonably necessary to:

·      comply with a legal obligation, process or request;

·      enforce our terms of service and other agreements, policies, and standards, including investigation of any potential violation thereof;

·      detect, prevent or otherwise address security, fraud or technical issues; or

·      protect the rights, property or safety of us, our users, a third party or the public as required or permitted by law (including exchanging information with other companies and organizations for the purposes of fraud protection).

 

We will only share your information for legitimate, justifiable, necessary, specific, and explicit purposes. For companies, organizations, and individuals with whom we share the information, we will sign strict confidentiality agreements with them and ask them to process information in accordance with our instructions, this Privacy Policy, and any other relevant confidentiality and security measures.

IV. How Will We Store, Retain and Secure Your Personal Information

The information we collect above are safely stored on servers which belong to us. We are committed to maintaining the privacy and integrity of your personal information no matter where it is stored. Our group companies have information security and access policies that limit access to our systems and technology. We also protect data through the use of technological protection measures such as encryption. Your personal information will remain subject to our technical and organizational controls and our policies and procedures (including this Privacy Policy).

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal information, we cannot guarantee the security of the information transmitted to our services; any transmission of your information is at your own risk.

We retain your information only during the period required by the purposes described in this Privacy Policy and within the time limits required by laws and regulations. When destroying personal information, measures will be taken to make the personal information irrecoverable or irreproducible, and electronic files which contain personal information will be deleted permanently using a technical method which makes the files irreproducible.

In the event that the processing and retention period have terminated, but personal information is required to be retained continuously for other reasons including for the purposes as prescribed under applicable laws, the relevant personal information will be stored and maintained separately from other types of personal information. If you require us to destroy your personal information before the end of its life cycle (as set out in the retention policy above), we will destroy your personal information in accordance with local laws).

V. How to Manage Your Information

You have certain rights in relation to the personal information we hold about you. Some of these only apply in certain circumstances (as set out in more detail below). We must respond to a request by you to exercise those rights without undue delay and at least within one month (though this may be extended by a further two months in certain circumstances).

1.     Access, Rectify, Update, Object and Delete

We encourage you to rectify, update and modify your information to make it correct, more accurate and effective. You can access your information through our Service, and complete by yourself or request us to modify, supplement or delete according to management of corresponding information. We will take appropriate technical methods to ensure you can access, update, correct and delete your own information or other information provided when using our Service as much as possible. 

When accessing, updating, correcting and deleting the above information, we may ask you to do identity verification to keep your information secure. Upon making a request to access, update, correct or delete your personal data, we will assess whether there is any rule or exception under the applicable laws that may enable us to object to your request, and inform you of this decision.

In case you have any question or request to access, rectify, update, modify and delete your data, you can contact us pursuant to the means explained in Section VIII below. 

2.     Cancellation

Subject to the conditions specified in the service agreement in relation to single service and the provisions of relevant national laws and regulations, your account for such single service may be cancelled or deleted. After the account is cancelled or deleted, all service information and data related to such account and such single service will be deleted or processed according to the service agreement in relation to such single Service.

3.     Change the Scope of your Consent

Some information is required to use our Service, but the provision of most other information is on your decision or consent. Where the processing of personal data is based on your consent, you can always select whether or not to disclose the information. You can change the scope of your consent to us to continue to collect the information or withdraw your consent by means of withdrawing it, deleting information, turning off device functions and so on.  You may also withdraw your consent by contacting us pursuant to the means explained in Section VIII below.

After you withdraw your authorization, we are unable to continue to provide you with the service corresponding to the withdrawal of the consent, and will not process your corresponding information. However, your decision to withdraw your consent will not affect the information processing previously based on your consent.

4.     Sensitive Information

Certain information may be considered being sensitive information because of its particularity, such as your race, religion, personal health and medical information, as well as identification documents, personal biometric information, property information, traces, information of minors, etc.

Please note the content and information provided or uploaded by you on our Service (such as photos or information about your social activities) may reveal your sensitive information. You need to carefully consider whether to use our Service to disclose your sensitive information. When you do so, we will understand that you give your explicit consent to us to process such sensitive information. 

You agree that your sensitive information will be treated in accordance with the purposes and manner described in this Privacy Policy.

VI. Age Limit

We do not knowingly collect personal information from children under the age of 13. If we determine we have collected personal information from a child younger than 13 years of age, we will take reasonable measures to remove that information from our systems. If you are under the age of 13, please do not submit any personal information through our Service. We encourage parents and legal guardians to monitor their children’s internet usage and to help enforce this Policy by instructing their children never to provide personal information through our Service without their permission.

If you believe we have any personal data from any children under your guardianship, please contact us via the contact information set forth in Section VIII, we will promptly investigate (and remove, if applicable) such Personal Information.

VII. Notice and Amendment

We may revise the terms of this Privacy Policy as appropriate and such modifications form part of this Privacy Policy. For major changes, we will provide more noticeable notices, and you may choose to stop using our Service. In such case, if you continue to use our Service, you agree to be bound by this Privacy Policy as revised.

Any amendment will put your satisfaction in the first place. We encourage you to review our Privacy Policy each time you use our Service.

We may publish service-related announcements when necessary (for example, when we suspend certain service due to system maintenance). You may not be able to cancel these announcements that are related to the service and that are not in the nature of promotion.

Finally, you must be obligated to keep your account and password confidential. In any case, please take care of such information safely.

This Supplemental Privacy Notice supplements the information in our Privacy Policy above and applies to California residents only.

No Discrimination. You also have the right not to be discriminated against (as provided for in applicable law) for exercising certain of your rights. Certain information may be exempt from such requests under applicable law. For example, we need certain types of information so that we can provide our Service to you. If you ask us to delete it, you may no longer be able to access or use our Service.
